1. Agreement to Terms

Welcome to ReelPass. By accessing or using our platform, website, mobile applications, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Platform.

These Terms constitute a legally binding agreement between you and ReelPass ("we," "us," or "our"). We may update these Terms from time to time, and your continued use of the Platform after such changes constitutes acceptance of the updated Terms.

2. Description of Services

ReelPass provides a multi-faceted platform that includes:

• Talent Marketplace: Connecting entertainment professionals (actors, musicians, crew, etc.) with production companies and casting opportunities
• Event Ticketing: Enabling users to discover, purchase tickets for, and attend events including concerts, performances, screenings, and other entertainment experiences
• Event Management: Allowing event organizers to create, manage, and sell tickets for their events
• Professional Networking: Facilitating connections, messaging, and collaboration between industry professionals

3. User Accounts

3.1 Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

3.2 Account Types

We offer different account types including Talent Profiles (for individual professionals), Company Profiles (for production companies, venues, and event organizers), and Buyer Accounts (for event ticket purchasers). Each account type has specific features, responsibilities, and terms applicable to its use.

3.3 Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any conduct that we determine is harmful to the Platform or other users. You may close your account at any time through your account settings.

4. Event Ticketing Terms

4.1 Ticket Purchases

When you purchase tickets through our Platform:

• You are entering into a transaction with the event organizer, with ReelPass acting as the ticketing platform
• All ticket sales are final unless otherwise stated by the event organizer or required by law
• Ticket prices include all applicable fees displayed at checkout
• You must provide accurate contact information to receive your tickets and event updates
• Tickets are subject to availability and may sell out at any time

4.2 Refunds and Cancellations

Refund policies are set by individual event organizers and are displayed on each event page. In general:

• If an event is cancelled, you will receive a full refund to your original payment method
• If an event is postponed or rescheduled, your tickets remain valid for the new date; refund options may be offered
• Refund requests for other reasons are subject to the event organizer's policy
• Processing fees may be non-refundable depending on the circumstances

4.3 Ticket Transfers and Resale

Tickets purchased through our Platform may be transferred to another person using our built-in transfer feature, subject to the event organizer's transfer policy. Unauthorized resale, scalping, or commercial redistribution of tickets is prohibited and may result in ticket cancellation without refund.

4.4 Event Entry

Admission to events is subject to the venue's and event organizer's rules and policies, including but not limited to:

• Age restrictions and ID verification requirements
• Dress codes and prohibited items
• Security screening procedures
• Right of admission reserved by the venue or organizer

5. Event Organizer Terms

If you use our Platform to create and sell tickets for events, you agree to:

• Provide accurate and complete event information including date, time, venue, and pricing
• Honor all ticket purchases made through the Platform
• Comply with all applicable laws regarding event organization, safety, and accessibility
• Maintain appropriate insurance coverage for your events
• Promptly notify ticket holders and ReelPass of any event changes or cancellations
• Process refunds in accordance with your stated refund policy and applicable laws
• Pay all applicable fees to ReelPass as outlined in your organizer agreement

6. Talent and Production Services

6.1 Talent Profiles

Talent users must accurately represent their skills, experience, and qualifications. Misrepresentation of credentials, work history, or capabilities may result in account suspension.

6.2 Project Listings

Companies posting projects must provide truthful information about roles, compensation, working conditions, and requirements. Deceptive or fraudulent job postings are strictly prohibited.

6.3 Platform Role

ReelPass facilitates connections between talent and productions but is not a party to any employment or contractor agreements. We do not guarantee employment, payment, or the quality of any work performed.

7. Payments and Fees

7.1 Payment Processing

All payments are processed securely through our third-party payment processors. By making a purchase, you authorize us to charge your selected payment method for the total amount including any applicable fees and taxes.

7.2 Pricing

All prices are displayed in the applicable currency and include any service fees before checkout. We reserve the right to change our fee structure with reasonable notice to users.

7.3 Chargebacks and Disputes

If you believe a charge is incorrect, please contact us before initiating a chargeback with your payment provider. Fraudulent chargebacks may result in account suspension and collection actions.

8. User Content

8.1 Your Content

You retain ownership of content you submit to ReelPass (including profile information, photos, videos, posts, and reviews). By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content on the Platform and for promotional purposes.

8.2 Content Standards

You are responsible for your content and warrant that it:

• Is accurate and not misleading
• Does not infringe any third-party rights (including copyright, trademark, or privacy rights)
• Does not contain illegal, harmful, threatening, abusive, or defamatory material
• Does not contain malware, spam, or unauthorized advertising

8.3 Content Removal

We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without prior notice.

9. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal purpose or in violation of any laws
• Harass, abuse, threaten, or discriminate against other users
• Post false, misleading, or fraudulent content
• Impersonate any person or entity
• Violate intellectual property rights of others
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Use automated tools to scrape, spider, or collect data from the Platform
• Interfere with or disrupt the Platform's operation or security
• Circumvent any security measures or access restrictions
• Engage in ticket scalping or unauthorized resale
• Create multiple accounts to evade restrictions or abuse promotions

10. Intellectual Property

The ReelPass name, logo, and all related trademarks, service marks, and trade dress are our property. All content, features, and functionality of the Platform (excluding user-generated content) are owned by ReelPass and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Platform without our written permission.

11. Third-Party Services

Our Platform may integrate with or link to third-party services, including payment processors, mapping services, and social media platforms. These third-party services have their own terms and privacy policies, and we are not responsible for their practices.

This site is protected by reCAPTCHA and the Google Privacy Policy and Terms of Service apply.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Platform will be uninterrupted, secure, or error-free
• Any errors or defects will be corrected
• The Platform is free of viruses or harmful components
• User-generated content is accurate, complete, or reliable
• Any connections made through the Platform will result in employment or successful events

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REELPASS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless ReelPass and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the Platform
• Events you organize through the Platform

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Lebanon, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration or in the courts of Lebanon.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and ReelPass regarding the Platform.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive our ability to enforce it in the future.
• Assignment: You may not assign your rights under these Terms without our consent.
